This Affiliate Program Agreement ("Agreement") is entered into by and between Ampd Up Drug Testing LLC, the parent company of subsidiaries The Lab Society, Digital Lab Academy, and Mary on Demand ("Company"), and the individual or entity agreeing to participate as an affiliate ("Affiliate"), collectively referred to as the "Parties."

1. Appointment of Affiliate 1.1. The Company appoints the Affiliate to promote and sell the Company's products and services under the terms of this Agreement. 1.2. This Agreement is non-exclusive, and the Affiliate may work with other companies.

2. Affiliate Obligations 2.1. The Affiliate agrees to: (a) Promote the Company's products and services truthfully and professionally. (b) Use only marketing materials provided or approved by the Company. (c) Abide by all applicable laws and regulations, including FTC guidelines on endorsements and advertising.

3. Commission Structure 3.1. The Affiliate will earn a commission of up to 80% per sale on all qualifying purchases made through the Affiliate’s unique tracking link. 3.2. Qualifying purchases include the Digital Lab Academy and the Specimen Collector + Lab Society Deal. 3.3. Commissions will be paid out monthly on the 15th of the month, 30 days hold after the sale date to allow for refund periods. For Example: If you join on Jan 10,2025 and you make a sale on Jan 31,2025 your first payout date will be March 15, 2025, this will be the next payout date after the 30 day refund hold period.

4. Affiliate Responsibilities 4.1. The Affiliate is responsible for all costs associated with their marketing efforts. 4.2. The Affiliate must not: (a) Engage in deceptive marketing practices. (b) Use spam or unsolicited messages to promote the Company’s products. (c) Bid on keywords, purchase domain names, or use social media handles that include the Company’s trademark or brand name without prior approval.

5. Company Obligations 5.1. The Company agrees to: (a) Provide the Affiliate with a unique tracking link. (b) Offer marketing materials and guidance to assist with promotion. (c) Pay commissions on time as outlined in this Agreement.

6. Intellectual Property 6.1. The Company grants the Affiliate a limited, non-exclusive, revocable license to use its trademarks and copyrighted materials solely for promotional purposes under this Agreement. 6.2. The Affiliate agrees not to modify, reverse-engineer, or create derivative works from the Company’s intellectual property.

7. Term and Termination 7.1. This Agreement will remain in effect unless terminated by either Party. 7.2. Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party. 7.3. Upon termination, the Affiliate must stop promoting the Company’s products immediately and remove all marketing materials.

8. Confidentiality 8.1. The Affiliate agrees to keep confidential any proprietary or sensitive information shared by the Company. 8.2. This obligation remains in effect even after the termination of this Agreement.

9. Limitation of Liability 9.1. The Company will not be liable for any indirect, incidental, or consequential damages arising from this Agreement. 9.2. The Affiliate’s sole remedy for disputes or claims will be limited to the unpaid commissions earned under this Agreement.

10. Governing Law 10.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana , without regard to its conflict of laws principles.

11. Entire Agreement 11.1. This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings. 11.2. Any modifications to this Agreement must be made in writing and signed by both Parties.

12. Acceptance of Terms 12.1. By participating in the Affiliate Program, the Affiliate acknowledges that they have read, understood, and agreed to the terms of this Agreement.
